NOTICE OF ANNUAL MEETING OF MEMBERS
The Annual Meeting of Members of Tampa Bay United Soccer Club, Inc., a Florida not for profit corporation (the “Club”), will be held at 8108 Benjamin Rd, Tampa, Florida 33634, on Monday, May 23, 2022, at 6:00 p.m., local time for the transaction of the following business:
- to accept Club officer’s annual reports;
- to elect Club Board of Directors;
- to consider and vote upon a proposal to amend and restate the Bylaws of the Club in their entirety; and
- to transact such other business as may properly come before the meeting or any adjournment or adjournments thereof.
The Board of Directors recommends that all members vote “FOR” acceptance of the Club officer’s reports, election of Board of Directors, and the proposal to amend and restate the Bylaws of the Club.
Under the Florida Not For Profit Corporation Act, the Florida Business Corporation Act, and the Club’s existing Bylaws, if a quorum is present, the favorable vote of (a) a majority of the votes cast by Members, voting in person or by proxy, at the meeting will be required in order to approve the matters referred to in proposal (1) above, and (b) two-thirds of the votes cast by Members, voting in person or by proxy, at the meeting will be required in order to approve the matters referred to in proposal (3) above.
For purposes of proposal (3) above, a copy of the proposed Amended and Restated Bylaws of the Club can be accessed here.
The Board of Directors has fixed the close of business on April 22, 2023, as the record date for the determination of Members who are entitled to notice of, and to vote at, the Annual Meeting and/or any adjournment or adjournments thereof.
In order to assure that your interests will be represented, whether or not you plan to attend the Annual Meeting in person, the forms of proxy will be posted no less than two weeks prior to the Annual Meeting.
